Please read these Terms of Service ("Terms") carefully before using MisarMail. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use MisarMail.
1. Parties & Agreement
These Terms constitute a legally binding agreement between you ("User", "you", "your") and Misar AI Technology Pvt. Ltd. ("Misar", "we", "us", "our"), a company incorporated in India. Payment processing is handled by Assisters LLC, a Delaware corporation and our billing entity.
2. Description of Service
MisarMail (mail.misar.io) is an email marketing and inbox management platform that provides:
- Email campaign creation, scheduling, and sending.
- Contact list management and segmentation.
- Email automation workflows.
- Inbox management via IMAP/SMTP integration.
- Analytics, deliverability monitoring, and reporting.
- API access for programmatic email sending.
3. Account Registration
To use MisarMail, you must:
- Be at least 16 years of age (or the minimum age in your jurisdiction).
- Provide accurate, complete registration information.
- Maintain the security of your account credentials.
- Notify us immediately of any unauthorized access to your account.
- Be responsible for all activity under your account.
You may not create accounts for others without their express consent, or use the Service on behalf of another person unless you are duly authorized.
4. Acceptable Use
You agree to use MisarMail only for lawful purposes and in compliance with all applicable laws and regulations. You must NOT use MisarMail to:
- Send spam, unsolicited bulk email, or emails to recipients who have not consented to receive communications from you.
- Violate CAN-SPAM, GDPR, CASL, or any applicable anti-spam law.
- Send emails containing malware, phishing content, or deceptive materials.
- Harvest or collect email addresses through automated means without consent.
- Send emails promoting illegal products or services.
- Impersonate any person, organization, or entity.
- Interfere with, disrupt, or attack MisarMail's infrastructure or other users.
- Attempt to reverse-engineer, scrape, or exploit any part of the Service.
- Violate the intellectual property rights of any third party.
- Send content that is defamatory, obscene, hateful, or violates any third-party rights.
4.1 Email Compliance Requirements
When using MisarMail for email marketing, you are responsible for:
- Obtaining prior consent (opt-in) from all recipients before sending marketing emails.
- Including a valid physical mailing address in all marketing emails.
- Providing a clear and functioning unsubscribe mechanism in every marketing email.
- Honoring unsubscribe requests within 10 business days (CAN-SPAM requires 10 days; GDPR requires prompt action).
- Maintaining records of consent where required by applicable law.
- Complying with all applicable anti-spam and data protection laws in the jurisdictions where your recipients reside.
5. Prohibited Content
You may not send or store through MisarMail any content related to:
- Adult/pornographic content (unless you operate a legal, age-verified adult platform with prior written approval from Misar).
- Illegal firearms, controlled substances, or other regulated products without appropriate licensing.
- Multi-level marketing, pyramid schemes, or get-rich-quick schemes.
- Gambling, unless licensed in the relevant jurisdiction.
- Hate speech, harassment, or content targeting individuals or groups based on protected characteristics.
6. Plans, Pricing & Payment
MisarMail offers Free, Pro, and Enterprise plans. Details are at mail.misar.io/pricing.
- Free Plan: Available at no charge subject to usage limits.
- Paid Plans: Billed monthly or annually in advance. All prices are in USD.
- Payment Processing: Processed by Stripe via Assisters LLC. By providing payment information, you authorize charges.
- Upgrades: Take effect immediately and are prorated.
- Downgrades: Take effect at the start of the next billing cycle.
- Refunds: We offer a 14-day money-back guarantee on first-time Pro or Enterprise subscriptions. Contact billing@misar.io.
- Taxes: You are responsible for any applicable taxes, duties, or levies.
7. Suspension & Termination
We may suspend or terminate your access to MisarMail:
- Immediately, if you violate the Acceptable Use Policy or Prohibited Content provisions.
- After notice, if you fail to pay outstanding amounts.
- For any reason, with 30 days' notice (in which case we will provide a pro-rated refund for prepaid amounts).
You may cancel your account at any time from Settings → Billing or by emailing support@misar.io. Upon cancellation, your data will be retained for 30 days before permanent deletion.
8. Intellectual Property
MisarMail and all its components (software, designs, brand, documentation) are the intellectual property of Misar AI Technology Pvt. Ltd. or its licensors.
You retain ownership of all content you create, upload, and send through MisarMail. By using the Service, you grant Misar a limited, non-exclusive license to process your content solely to provide the Service.
Misar's name, logo, and brand marks may not be used without prior written consent.
9. Privacy
Your use of MisarMail is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MISAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISAR'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MISAR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
IN NO EVENT SHALL MISAR BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
12. Indemnification
You agree to indemnify, defend, and hold harmless Misar, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.
13. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Indian Arbitration and Conciliation Act, 1996, in Bengaluru, India. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or Service notification at least 14 days before changes take effect. Your continued use of MisarMail after the effective date constitutes acceptance.
15. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Misar.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
